1. Website and App Use, Privacy and Cookies Policy

When you create an account with Gardenia Marketplace (“Gardenia”, “we”, “us”, “our”), you must provide information that is accurate, complete, and current at all times. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of your account.

You are responsible for safeguarding the password you use to access the Service and for all activities under your account, whether with Gardenia or a third-party identity provider. You agree not to disclose your password to any third party. You must notify us immediately if you become aware of any breach of security or unauthorized use of your account.

Our collection and use of personal data is described in our Privacy Policy. We use cookies and similar technologies as explained there to operate, secure, and improve the Service. By using Gardenia, you agree to the Privacy Policy and to our use of cookies in line with that policy.

Use of the website and mobile application is also subject to acceptable use rules: you must not misuse the platform, interfere with other users, attempt unauthorized access, or use the Service for unlawful purposes.

2. Seller / farmer terms and key information

Gardenia may display links to third-party websites, payment partners, logistics providers, or tools that are not owned or controlled by us. We do not control and are not responsible for the content, privacy policies, or practices of third-party sites or services. You acknowledge that Gardenia shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by reliance on any such content, goods, or services.

Sellers (including farmers and other suppliers) must provide truthful listings, honour orders according to stated terms, comply with applicable food safety, labelling, and trade rules where they apply, and cooperate with dispute resolution initiated through the platform.

Fees, payouts, and settlement timelines may be set out in separate seller agreements or in-product terms. Where they conflict, the more specific terms for that program prevail.

3. Seller code of conduct

Sellers must treat buyers, delivery partners, and support staff respectfully. Harassment, discrimination, fraudulent listings, artificial review manipulation, or evasion of platform fees is prohibited.

You must not use Gardenia to sell illegal goods, misrepresent origin or certification of products, or circumvent verification or compliance steps we require for certain categories.

We may remove listings, withhold payouts pending investigation, or restrict accounts where we reasonably believe these rules have been violated.

4. Buyer terms and conditions

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. If a court holds any provision invalid or unenforceable, the remaining provisions remain in effect. These Terms (together with the Privacy Policy and any order-specific or program-specific terms you accept) constitute the entire agreement between you and Gardenia regarding the Service and supersede prior agreements on the same subject matter.

Buyers agree to pay for orders placed through approved checkout flows, provide accurate delivery information, and communicate in good faith with sellers regarding fulfilment issues.

5. Anti-slavery and human trafficking statement

Gardenia opposes modern slavery and human trafficking in our operations and supply relationships. We expect partners and sellers to uphold applicable labour standards and to cooperate with reasonable diligence requests where relevant.

We may update these Terms from time to time. If a change is material, we will try to provide reasonable notice (for example by email or in-app notice) before the revised terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Service and may close your account where the product allows.
